Assistance in a foreclosure transaction of a Romanian company owning an office building in Bucharest

The client: a Romanian company with foreign capital, which was exposed to a foreclosure procedure by the creditor who financed the acquisition of an office building in a central area of Bucharest.

Project: assistance services in structuring the divestment in Romania, after the ownership transfer of the building in the foreclosure process.

Why this project was a challenge and what is the added value of the consultant: the market value of the building was lower than the debts subject to forced execution, which is why the client was interested in the tax implications of a possible liquidation of the Romanian company, given that the holder of the claim right would have waived or not the part of the claim not covered by the proceeds of forced execution. In this project we collaborated with the seller’s team of lawyers.
